7. The Owner shall inform Liability and Indemnification.
7.1 Owner hereby agrees to indemnify and hold harmless Companyagainst and in respect of any loss, damages, cost or expense (including reasonable investigative,expenses and attorneys' fees), amount paid in settlement, fine,penalty and liability of any and every kind incurred by or asserted against Companyby reason of or in connection with the engagement of Companyhereunder, the performanceby Company of the services described herein and/or the Property or any installation, decoration, furniture, appliance, utilities in the Property.
7.2 The Companyshall indemnify and hold Owner harmless against, and to the extent of, any loss and damages resulted from willful misconduct, gross negligence or fraud by or on the part of the Company.
7.3 The Company shall not be liable to any loss or damage to the Property, any person or property arises from or in connection with the goods, service or an arrangement that the Company procure, purchase or contract for or on behalf of the Owner under this Agreement.
8. The Owner hereby makes, constitutes and appoints Company as its true and lawful attorney-in-fact, for and on behalf of the Owner, to sign, acknowledge and file all documents and agreements(other than promissory notes, mortgages, deeds of trust or other documents or instrumentswhich would encumber the Property) necessary to perform or effect the duties andobligations of Companyunder the terms of this Agreement.
Notwithstanding the above, both parties agree and acknowledge that Company is and shall operate as an independent contractor in performing its duties under this Agreement, and shall not be deemed an employee or Company of Owner. This Agreement shall not constitute the transfer of possessory right to the Company or bailment contract.
